Registered Office Change

The term registered office is considered as an official address, where the registered or incorporated company locates. The registered office is the place where all the official communications are addressed and displayed in the master data of the company. Although if the office address is changed then it must be updated immediately with MCA. It also applies for the offices which are within the city. A special process needs to be followed for changing office address as prescribed under companies act. The processes are different depending on the location of the office and where it is shifted later. The documents required for the change of office address are Digital Signature Certificate of any one of the authorized directors, Address proof such as telephone bill, electricity bill, NOC from owner and Rent agreement. Most of all, shareholder’s consent and approval from concerned ROC is required in all cases. Few essential points to be noted are registered offices must be in India, not outside India. Registered office must keep all books of accounts and if, in case, it is kept in another address, the full official address must be mentioned in a notice sent to the registrar for the same. In case, office shifts to the other place, ROC and RD must be obtained after approval. Document must be filed within 30 days of address change to the ROC.
